Intellectual Property Policy

This Intellectual Property Policy (“Policy”) governs ownership, usage, and protection of intellectual property related to services provided by Diclr Enterprise (“Diclr”, “we”, “our”, or “us”). By purchasing or using our services, you agree to the terms of this Policy.


1. Ownership of Diclr Intellectual Property

All intellectual property owned by Diclr includes, but is not limited to:

  • Website content, text, graphics, and design
  • Service structures, methodologies, workflows, and systems
  • Branding elements, logos, trademarks, and service names
  • Templates, frameworks, documentation, and internal processes

These materials remain the exclusive property of Diclr unless otherwise stated in writing.


2. Client-Owned Intellectual Property

  • Clients retain ownership of any materials they provide to Diclr, including:
    • Website content
    • Logos and branding
    • Media files and proprietary data
  • By providing such materials, clients grant Diclr a limited, non-exclusive license to use them solely for service delivery purposes

3. Work Product & Deliverables

  • Upon full or partial payment, clients receive usage rights to the delivered work only to the extent of the payment made
  • Ownership transfer (if applicable) is limited to:
    • Final deliverables explicitly included in the purchased service
  • Diclr retains ownership of:
    • Pre-existing tools, systems, templates, and methodologies
    • Any background intellectual property used to deliver the service

4. Restrictions on Use

Clients may not:

  • Resell, redistribute, or sublicense Diclr’s proprietary materials
  • Claim ownership of Diclr methodologies or internal systems
  • Reverse-engineer, copy, or reuse Diclr assets outside the agreed scope

Any unauthorized use may result in legal action.


5. Partial Payment & Ownership Rights

  • If a service is partially paid:
    • Client rights are limited to the proportion of work delivered corresponding to the amount paid
  • Any unpaid portion of work remains the exclusive property of Diclr
  • Diclr reserves the right to remove or disable unpaid deliverables

6. Third-Party Intellectual Property

  • Some services may involve third-party tools, platforms, or assets
  • Ownership and licensing of third-party materials are governed by their respective policies
  • Diclr does not transfer ownership of third-party intellectual property

7. Infringement Claims

  • Clients must ensure that all materials they provide do not infringe on third-party rights
  • Diclr is not responsible for intellectual property violations caused by client-supplied content
  • Clients agree to indemnify Diclr against claims arising from such violations

8. Termination & Intellectual Property

Upon service termination or cancellation:

  • Client rights to Diclr intellectual property immediately cease
  • Diclr retains all ownership rights over its proprietary assets
  • Delivered work remains subject to the payment status and service scope

9. Independent Business Status

  • Diclr operates under a subdirectory (nazmulislam.net/diclr) for technical convenience only
  • Diclr Enterprise is a fully independent business entity and not affiliated with any parent domain or organization

10. Policy Updates

  • Diclr reserves the right to modify this Policy at any time
  • Updates become effective immediately upon publication on the website
